Bravely Studios LLC (“we,” “our,” or “us”) operates the Todoing.ly application (the “App”). These Terms of Use govern your use of the App. Please read them carefully before using the service.

Acceptance of Terms

By downloading, installing, or using the Todoing.ly application (the "App"), you agree to be bound by these Terms of Use. If you do not agree to these Terms, do not use the App.

Description of Service

Todoing.ly is a task management application that allows you to create, organize, and track tasks and projects. The App is available on iOS, Android, and the web. Features include smart natural-language input, shared projects, recurring tasks, friend connections, and optional premium subscriptions.

Account Terms

To use the App, you must create an account using an email address, Google Sign-In, or Apple Sign-In. You are responsible for: • Maintaining the security of your account and password • All activity that occurs under your account • Notifying us immediately of any unauthorized use You must be at least 13 years of age to create an account. By creating an account, you represent that the information you provide is accurate and complete.

Subscriptions & Billing

Todoing.ly offers optional premium subscriptions ("Todoing.ly Premium") through the Apple App Store, Google Play Store, and Stripe (for web). By subscribing, you agree to the following: • Payment will be charged to your account at confirmation of purchase • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period • Your account will be charged for renewal within 24 hours prior to the end of the current period • You can manage and cancel subscriptions through your device’s account settings (Apple or Google) or through the web app Refunds are handled by the respective platform (Apple, Google, or Stripe) in accordance with their refund policies. Free trial periods, if offered, are forfeited upon purchasing a subscription.

User Content

You retain ownership of all content you create within the App, including tasks, projects, notes, and templates ("User Content"). By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing and improving the service. You are solely responsible for your User Content. You agree not to create or share content that: • Violates any applicable law or regulation • Infringes the intellectual property rights of others • Contains harmful, threatening, or abusive material • Attempts to interfere with or disrupt the service

Shared Projects & Collaboration

When you create or join a shared project, your display name and task activity within that project are visible to other project members. You are responsible for the content you contribute to shared projects. We reserve the right to remove content or restrict access to shared projects that violate these Terms.

Acceptable Use

You agree not to: • Use the App for any unlawful purpose • Attempt to gain unauthorized access to any part of the service • Interfere with or disrupt the App or its infrastructure • Use automated scripts, bots, or scrapers to access the service • Reverse-engineer, decompile, or disassemble the App • Resell, sublicense, or redistribute the App or any part of it

Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. You may stop using the App at any time. Upon termination, your right to use the App ceases immediately. You may request deletion of your account and associated data by contacting us at jeff@bravely.dev.

Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by applicable law, Bravely Studios LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the App, regardless of the theory of liability. Our total liability for any claim arising from these Terms or use of the App shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Bravely Studios LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the App or violation of these Terms.

Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will be updated accordingly. Continued use of the App after changes constitutes acceptance of the revised Terms. If we make material changes, we will make reasonable efforts to notify you through the App or via email.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or use of the App shall be resolved in the state or federal courts located in Kansas.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
